1. Introduction

Welcome to COVR® ("we," "our," or "us"). COVR® is a restaurant reservation management application designed to help restaurant operators manage bookings, guest lists, and waitlists.

These Terms of Use ("Terms") govern your access to and use of the COVR® application, website, and services. By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

COVR® is owned and operated by Allatt Tech Solutions Inc., a corporation registered in Ontario, Canada.

2. Definitions

"Application" or "App" refers to the COVR® mobile and web applications.

"Content" means text, graphics, images, music, software, audio, video, information or other materials.

"Customer" refers to restaurants, food service businesses, or other establishments that use COVR® to manage their reservations.

"Guest" refers to individuals who make reservations at Customer establishments through COVR® or are added to the system by Customers.

"Services" means all services provided by COVR®, including but not limited to reservation management, guest list management, waitlist management, and analytics.

"User," "you," and "your" refer to any individual who accesses or uses our Services.

"User Content" means all information and content that a User submits to, or uses with, the Services.

3. Acceptance of Terms

By registering for and/or using the Services in any manner, you agree to these Terms and all other operating rules, policies, and procedures that may be published by COVR® from time to time.

If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "your" will refer to that entity.

If you do not agree with all of these Terms, you may not access or use our Services.

4. Eligibility

You must be at least 18 years of age to use our Services. By agreeing to these Terms, you represent and warrant that:

a) You are at least 18 years of age;

b) You can form a binding contract with COVR®;

c) You are not a person barred from receiving services under the laws of Canada or other applicable jurisdiction; and

d) Your use of the Services does not violate any applicable law or regulation.

5. Account Registration

To use certain features of our Services, you must register for an account. When you register, you must provide accurate and complete information and keep this information updated.

You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify COVR® immediately of any unauthorized use of your account.

COVR® reserves the right to remove or reclaim usernames at any time and for any reason, including but not limited to claims by a third party that a username violates their rights.

6. Services Description

COVR® provides restaurant reservation management services, including but not limited to:

a) Reservation management: Creating, editing, and canceling reservations;

b) Guest list management: Storing and organizing guest information;

c) Waitlist management: Managing walk-in guests and notifying them when tables become available;

d) Analytics: Providing insights into reservation patterns and guest preferences;

e) Communication tools: Enabling communication with guests via text messages or other means.

COVR® reserves the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.

7. User Content

Our Services allow you to store, manage, and share information related to your restaurant, including reservations, guest information, and other content ("User Content"). You retain all rights to your User Content.

By submitting User Content to COVR®, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and process your User Content solely as necessary to operate, maintain, and improve our Services. We do not sell or share your User Content with third parties for marketing purposes.

We will never use identifiable guest information (such as names, emails, or reservation notes) for any purpose other than to provide the Service to you, unless required by law or with your express permission.

You represent and warrant that:

a) You have the necessary rights and permissions to provide the User Content and grant us this license;

b) Your User Content does not violate the privacy, publicity, or intellectual property rights of any third party;

c) You will comply with all applicable data privacy and protection laws when uploading or managing guest information using our Services.

8. Privacy and Data

Your use of our Services is subject to our Privacy Policy, which outlines how we collect, use, and disclose information. By using our Services, you consent to the practices described in that policy.

In providing our Services, COVR® acts as a data processor on your behalf. You are the data controller for any personal information you upload or manage through our platform, including information about your staff and guests.

Accordingly:

a) We process personal information such as names, contact information, reservation details, and guest preferences solely to provide and support our Services;

b) We may engage third-party service providers (e.g., cloud hosting, support tools) who assist in delivering our Services; such providers are bound by strict confidentiality and data protection obligations;

c) We implement appropriate administrative, technical, and physical safeguards to protect personal data against unauthorized access, disclosure, or destruction;

d) We retain personal information only as long as necessary to fulfill our contractual obligations or comply with applicable laws;

e) You are responsible for ensuring compliance with applicable privacy laws, including obtaining consent from your guests to collect and manage their personal data through our platform.

Individuals have rights under PIPEDA and other applicable laws to access, correct, or delete their personal information. To exercise these rights, please contact the restaurant directly or email us at [email protected] for assistance.

9. Payments and Billing

Some aspects of the Services may be provided for a fee. By purchasing these Services, you agree to pay all applicable fees in accordance with the pricing and billing terms presented to you at the time of purchase.

Fees are non-refundable except as required by applicable Canadian consumer protection laws or as explicitly stated in these Terms or your service agreement.

You agree to provide and maintain accurate billing information, including your full legal name, business name (if applicable), billing address, contact details, and a valid payment method.

By submitting your payment information, you authorize COVR® to charge your designated payment method for all recurring or one-time fees associated with your use of the Services.

If automatic billing fails or a payment is overdue, COVR® may issue an electronic invoice. Payment is due within 15 days of the invoice date. Failure to pay may result in suspension or termination of your access to the Services.

COVR® reserves the right to modify its pricing, fee structure, or billing methods. You will receive at least 30 days' prior notice of any fee changes. Continued use of the Services after such changes take effect constitutes your agreement to the revised fees.

10. Intellectual Property Rights

The Services and all content provided by COVR®, including but not limited to the application, software, code, user interface, design, text, graphics, logos, trademarks, and other materials (collectively, "COVR Content"), are the exclusive property of COVR® or its licensors, and are protected by Canadian and international copyright, trademark, trade secret, and other intellectual property laws.

COVR® grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services solely for your internal business purposes in connection with your restaurant, subject to compliance with these Terms.

Except as expressly permitted in these Terms, you may not:

a) Modify, reproduce, distribute, transmit, display, perform, publish, license, create derivative works from, transfer, sell, or otherwise exploit any COVR Content without our prior written consent;

b) Use automated means (e.g., bots, spiders, scrapers, scripts) to access, monitor, or copy any part of the Services;

c) Remove, obscure, or alter any copyright, trademark, or other proprietary notices embedded in or on the Services;

d) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying ideas or algorithms of any part of the Services.

All rights not expressly granted to you under these Terms are reserved by COVR®.

11. Restrictions

In addition to the restrictions outlined elsewhere in these Terms, you agree not to:

a) Use the Services for any unlawful purpose or in violation of any applicable law;

b) Post, upload, or distribute any content that is unlawful, defamatory, harassing, abusive, fraudulent, obscene, or otherwise objectionable;

c) Impersonate any person or entity, falsely claim an affiliation with any person or entity, or access the accounts of others without authorization;

d) Interfere with or disrupt the Services or the servers or networks connected to the Services;

e) Introduce any viruses, trojan horses, worms, logic bombs, or other harmful code or material;

f) Collect, harvest, or attempt to access information from the Services, including email addresses or other personal data, without proper authorization;

g) Use the Services in a manner that could disable, overburden, damage, or impair the Services or interfere with another party's use of the Services, or COVR®'s ability to provide services to other clients.

12. Termination

COVR® may suspend or terminate your access to all or part of the Services, with or without notice, if, in our sole discretion, we determine that you have violated these Terms, engaged in harmful or unlawful activity, or otherwise pose a risk to COVR®, its users, or third parties.

You may terminate your account at any time by contacting us at [email protected]. Upon termination, your right to use the Services will immediately cease.

COVR® may retain certain user information as required by law or for legitimate business purposes, including fraud prevention, legal compliance, audits, and dispute resolution.

All provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, to the fullest extent permitted by applicable law. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

COVR® does not warrant that:

a) The Services will be uninterrupted, timely, secure, or error-free;

b) Any defects or errors will be corrected;

c) The Services or the servers used to deliver them are free of viruses or other harmful components;

d) The Services will meet your specific requirements or expectations.

Some jurisdictions, including Québec, may not allow limitations on implied warranties. In such cases, the above disclaimers may not apply to you.

14. Limitation of Liability

To the maximum extent permitted by law, in no event shall COVR®, its affiliates, directors, officers, employees, or agents be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, data, or other intangible losses arising from your use of or inability to use the Services.

In no event shall COVR®'s total liability to you for all claims relating to the Services exceed the greater of:

a) The total amount you paid to COVR® in the six (6) months preceding the claim; or

b) CAD $100.00.

This limitation does not apply to liability resulting from COVR®'s gross negligence or willful misconduct. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless COVR®, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, obligations, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

a) Your use or misuse of the Services;

b) Your violation of these Terms;

c) Your violation of any rights of a third party, including intellectual property, privacy, publicity, or other proprietary rights;

d) Any content or data submitted by you through the Services; or

e) Your failure to comply with applicable data protection or privacy laws in the collection, processing, or use of guest information.

This obligation will survive the termination of these Terms and your use of the Services.

16. Governing Law

These Terms constitute a commercial agreement and shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to any conflict of law principles.

You agree that any dispute arising from or relating to these Terms or the Services shall be resolved exclusively in the courts located in the Region of Niagara, Ontario, Canada, and you waive any objection to jurisdiction and venue in such courts.

17. Changes to Terms

COVR® reserves the right to modify or replace these Terms at any time. If we make material changes, we will provide you with at least 15 days' notice, either through the Services, by email, or via our website.

Your continued use of the Services after such notice constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue your use of the Services.

It is your responsibility to review these Terms periodically for updates.
