COVR Connect Inc. ("COVR," "we," "our," or "us") respects your privacy and is committed to protecting your personal information. This Privacy Policy explains how we collect, use, disclose, and safeguard your information when you use our COVR® restaurant reservation application and related services.

This Privacy Policy applies to information we collect through:

• Our mobile application ("App")
• Our website at covrconnect.com
• Email, text, and other electronic communications between you and COVR®

Please read this Privacy Policy carefully to understand our practices regarding your personal information. By accessing or using our Services, you acknowledge that you have read and understood this Privacy Policy.

2. Definitions

"Personal Information" means information about an identifiable individual, including information that can be used to identify an individual, either directly or indirectly.

"Customer" refers to restaurants, food service businesses, or other establishments that use COVR® to manage their reservations.

"Guest" refers to individuals who make reservations at Customer establishments through COVR® or are added to the system by Customers.

"Services" means all services provided by COVR®, including but not limited to reservation management, guest list management, waitlist management, and analytics.

"User," "you," and "your" refer to any individual who accesses or uses our Services.

3. Information We Collect

We collect several types of information from and about users of our Services:

3.1 Information You Provide to Us

As a Restaurant Customer:

• Account information: When you register for an account, we collect your name, email address, phone number, password, and business information

• Restaurant profile information: Restaurant name, address, contact information, operating hours, seating capacity, and table configurations

• Payment information: When you subscribe to our paid services, we collect payment details, which may include credit card information or other financial information

• Staff information: Names, email addresses, and roles of staff members who will use the app

• Communications: Information you provide when you contact us for customer support

Information About Guests:

As a restaurant using our Services, you may collect and input the following information about your guests:

• Guest contact information: Name, email address, phone number

• Reservation details: Date, time, party size, special requests

• Dining preferences and history: Favorite tables, dietary restrictions, occasion information, visit history

• No-show and cancellation records

3.2 Information We Collect Automatically

When you use our Services, we automatically collect:

• Device information: Device type, operating system, unique device identifiers

• Log information: IP address, browser type, access times, pages viewed

• Location information: If you grant permission, we may collect precise location information from your device

• Usage information: How you use our Services, including features used and actions taken

• Analytics data: Aggregated data about app performance and user behavior

5.2 Between Restaurant Customers and Guests

Our Services facilitate the sharing of information between restaurants and their guests. When a guest makes a reservation, their information is shared with the restaurant to fulfill the reservation request.

5.3 Business Transfers

If COVR® is involved in a merger, acquisition, or sale of all or a portion of its assets, your information may be transferred as part of that transaction. We will notify you of any change in ownership or uses of your information.

5.4 Legal Requirements

We may disclose your information if required to do so by law or in response to valid requests by public authorities (e.g., a court or government agency).

5.5 Protection of Rights

We may disclose your information to protect the rights, property, or safety of COVR®, our users, or others.

5.6 With Your Consent

We may share your information with third parties when you have given us your consent to do so.

6. Data Retention

We retain your personal information for as long as necessary to fulfill the purposes for which we collected it, including for the purposes of satisfying any legal, accounting, or reporting requirements.

For Restaurant Customers, we generally retain your information for the duration of your subscription to our Services, plus a reasonable period afterward for backup, archival, and legal purposes.

For Guest information, Restaurant Customers can set their own retention periods within the App. By default, guest information is retained until explicitly deleted by the Restaurant Customer.

When your information is no longer required, we will securely delete or anonymize it in accordance with our data retention policies and applicable law.

7. Data Security

We have implemented appropriate technical and organizational measures to protect the security of your personal information. These measures include:

• Encryption of sensitive data

• Secure socket layer (SSL) technology

• Regular security assessments

• Access controls and authentication procedures

• Staff training on data security

However, no method of transmission over the Internet or electronic storage is 100% secure. While we strive to use commercially acceptable means to protect your personal information, we cannot guarantee its absolute security.

In the event of a data breach affecting your personal information, we will notify you and regulatory authorities as required by applicable law.

Under the Personal Information Protection and Electronic Documents Act (PIPEDA) and other applicable privacy laws, you have certain rights regarding your personal information.

You have the right to access and correct your personal information. You can view and update most of your personal information directly through the App. For information that you cannot access directly, you can submit a request to us as described in the "Contact Us" section.

8.2 Withdrawal of Consent

You can withdraw your consent to our collection, use, and disclosure of your personal information at any time, subject to legal or contractual restrictions and reasonable notice.

8.3 Deletion

You can request the deletion of your personal information. We will comply with your request unless we have a legal obligation to retain your information.

You can opt out of receiving marketing communications from us at any time by following the unsubscribe instructions included in our emails or by contacting us directly.

8.5 How to Exercise Your Rights

Please note that certain information may be exempt from such requests under applicable law. We may ask you for additional information to confirm your identity before responding to your request.

Our Services are not intended for children under the age of 13, and we do not knowingly collect personal information from children under 13. If we learn we have collected or received personal information from a child under 13, we will delete that information.

10. International Data Transfers

COVR® is based in Canada, and we primarily store and process your information in Canada. However, some of our service providers may be located in other countries, which means your information may be transferred to, stored, or processed in jurisdictions outside of Canada.

When we transfer your information internationally, we take steps to ensure that your information receives an adequate level of protection, including by entering into data processing agreements that incorporate appropriate safeguards.

By using our Services, you consent to the transfer of your information to countries outside of your country of residence, which may have different data protection rules than those in your country.
